Utility industry

We have advised a public company operating in the utility industry on its planned acquisition of shares in two companies, each operating a waste incineration plant. Our services included the analysis of the transaction structure with regard to economic, accounting and tax consequences for our client. In addition, we have analysed the intended financing structure on their economic effectiveness.

Software manufacturer

We have comprehensively supported a well-known software company in the implementation of the growth strategy with the acquisition of a competitor. Our services covered the entire transaction process from determining the acquisition strategy and the identification of target companies about the market approach and communication with target companies, the specification of the transaction structure and indicative valuation to the implementation of economic issues in the sale and purchase agreement, the support in the contract negotiations and the subsequent integration of the acquisition object.

Insurance broker

We have advised a company specialising in the incident management for commercial car fleets in the acquisition of an insurance broker. Our advisory services included inter alia the indicative valuation of the target company, the creation of purchase offers as well as in particular the input to handle economic issues in the sale and purchase agreement treatment and support in the contract negations.
